Terms of Service

Terms for using ExactMusic, the exact-duration instrumental music service operated by Core Matrix, LLC.

Last updated: 2026-09-23

Agreement

These Terms of Service are a contract between you and Core Matrix, LLC for ExactMusic at getexactmusic.com. By creating an account, buying credits, or using the service, you agree to these terms and to the Privacy Policy and Refund Policy. If you do not agree, do not use ExactMusic.

The service

ExactMusic generates exact-duration instrumental background music for voiceover, ads, and short video. You set a length within the limits shown in the product and describe the cue in a text prompt. We return an audio file, usually an MP3, aimed at instrumental music.

The product is built for instrumental tracks. It is not a vocal, singing, or lyric product. We do not guarantee that a particular file will be free of every unintended vocal-like sound.

Guests may try one short preview, within the limits shown on the generation page. Longer tracks require an account and credits.

We may change, limit, or stop features. When a change is material and practical to announce, we will post a notice on the site.

Accounts

You may register with email. Google sign-in is optional. You are responsible for activity on your account and for keeping your sign-in method secure. Tell us at support@getexactmusic.com if you believe someone else is using your account.

Provide accurate account information. Do not create an account for someone else without their permission, and do not share an account in order to pool or move credits.

Credits

Public purchases are one-time credit packs, not a subscription. Pack size and price are shown on the pricing page and again at checkout before you pay.

Credits are spent when a track is successfully generated for your account. The number of credits required is the number shown before you generate. If a generation fails, credits taken for that attempt are returned to your balance. If a failed attempt still shows as spent, email support and we will correct it.

Credits belong to the account that received them. They are not transferable. You may not sell, gift, or move credits to another account. Credits are not cash, except for a refund that the Refund Policy expressly allows.

If we grant complimentary credits, for example a signup grant, those credits have no cash value, are not transferable, and are not refundable.

Payments

Checkout for credit packs may be completed through Paddle or Stripe, as shown on the checkout page and on your receipt. You authorize the processor named at checkout to charge the payment method you submit for the pack you select. We do not store full card numbers. Taxes may be added where the law requires them. They are shown at checkout when they apply.

Paddle orders. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders processed by Paddle. Paddle provides all customer service inquiries and handles returns for those orders. Buyers can reach Paddle at https://paddle.net or through the links on the Paddle receipt.

Stripe orders. When checkout is completed through Stripe, Stripe processes the payment for that order. Core Matrix, LLC remains the seller of the ExactMusic product for those orders. Stripe orders are not Paddle Merchant of Record transactions.

Refunds

Refunds follow the Refund Policy. ExactMusic offers at least a 30-day money-back guarantee on purchased credit packs, in addition to mandatory statutory consumer rights that apply to you. For Paddle orders, Paddle is Merchant of Record and handles billing and returns. For Stripe orders, refunds are processed through Stripe to the original payment method under the same policy.

License to generated audio

When a generation succeeds on your signed-in account and the required credits are consumed, Core Matrix, LLC grants you a non-exclusive, worldwide license to use that audio file for:

  • personal projects, and
  • commercial projects, including voiceovers, advertisements, podcasts, and short-form video, including work you deliver to a client and content you publish or monetize.

You may keep and use your copy of that file for those purposes. This license is tied to you and to that file. It is not transferable. You may not sell, sublicense, or give the license or the credits to someone else.

You may not resell the raw audio file as stock music, a sample pack, or a standalone music product, and you may not offer it through a competing generation service.

This is a license to use the file we delivered. It is not a sale of the ExactMusic software, the models, the ExactMusic name, or the prompt text we add in order to run the service. People and companies other than you may receive different files, including files that sound similar.

Copyright in AI-generated audio is not the same in every country, and the law is still developing. We do not promise that you will be treated as the copyright owner of a file everywhere. We also do not promise that a file is unique or that it will not resemble existing music.

Audio from a guest preview, or from any generation that does not consume credits, is for evaluating ExactMusic. The commercial and personal-use license above applies to files generated after credits are consumed on your account.

Your prompts

You are responsible for the prompts you submit. Do not ask the service to copy a specific recording, to imitate an identifiable person's voice, or to infringe someone else's copyright, trademark, or other rights.

You keep any rights you already have in your prompt text. You give Core Matrix, LLC a limited permission to host, store, and transmit the prompt and the resulting audio as needed to run ExactMusic, including sending the prompt to AI providers such as OpenRouter and Google Lyria and storing the file for playback and download.

The license in the previous section does not include third-party names, trademarks, or compositions that a prompt tries to imitate.

Acceptable use

You agree not to:

  • Break the law, or help someone else break it.
  • Infringe intellectual property or other rights.
  • Attempt to access another person's account, credits, or files.
  • Probe, disrupt, overload, or bypass the service, including credit checks and guest limits.
  • Resell credits or share accounts to move credits.
  • Use ExactMusic as a voice-cloning or singer product.
  • Reverse engineer the service except where the law does not allow us to prohibit it.

AI output

Tracks are produced by third-party models, including through OpenRouter and Google Lyria. Output can be unexpected, unsuitable, or similar to other music. Listen before you publish. We do not warrant that a track is fit for a particular campaign, that the duration match will meet every production spec beyond the length you selected, or that the file is free of third-party claims.

Our intellectual property

The ExactMusic name, the website, and the software belong to Core Matrix, LLC or its licensors. These terms give you the audio license described above and the right to use the site. They do not give you ownership of the service.

Suspension

We may suspend or close an account that breaks these terms, including abuse of credits or the generation service. You may stop using ExactMusic at any time and may ask us to close your account.

A license already granted for a file that was successfully generated and paid for with credits continues for that file, unless you obtained it by fraud or the file itself infringes someone else's rights. Purchased credits after closure may still be refunded under the Refund Policy if the request is still inside the applicable refund window.

Disclaimers

ExactMusic is provided "as is" and "as available". To the extent the law allows, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

Limitation of liability

To the extent the law allows, Core Matrix, LLC and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost goodwill, arising out of these terms or the service.

To the extent the law allows, our total liability for a claim relating to the service is limited to the amount you paid us for credit packs in the three months before the claim. If you have not paid us, our liability is limited to the extent the law still requires.

Some places do not allow these limits. In those places, the limits apply only as far as the law allows. These terms do not limit liability that cannot legally be limited, including liability for fraud.

Governing law

These terms are governed by the laws that apply to Core Matrix, LLC, excluding conflict-of-law rules. If you are a consumer, non-waivable rights in your place of residence still apply. Disputes may be heard by courts that have authority over Core Matrix, LLC, or by another venue that applicable consumer law requires.

Changes

We may update these terms. We will change the date on this page when we do. Changes apply to use of the service after that date. A license already granted for a delivered file stays as it was when that file was generated, unless the law requires a change.
